TERMS AND CONDITIONS FOR THE THRIVE X LATITUDE STUDENT ART COMPETITION

  • introduction
      1. These terms and conditions (Terms and Conditions) govern the Thrive x Latitude Student Art Competition (the Competition) which is organised and operated by Latitudes Online Proprietary Limited (Latitudes) and Growthpoint Student Accommodation Holdings (RF) Limited (Thrive) (collectively, the Promoters). 
      2. The Competition commences on 8 September 2025 and endures until 10 October 2025 at 23:59 SAST (the Competition Period). No incomplete entries or entries received after 10 October 2025 at 23:59 SAST will be considered. 
      3. By entering the Competition, entrants accept and agree to be bound by these Terms and Conditions. A copy of the Terms and Conditions is available on latitudes.online here for the duration of the Competition Period.
  • TERMS AND CONDITIONS OF ENTRY
    1. Participation in this Competition is limited to students –
      1. currently enrolled for visual arts at a recognised South African university or tertiary institution;
      2. who are aged 18 years and older; and 
      3. who are not a director, member, partner, agent or employee of the Promoters, the holding company of the Promoters or subsidiaries of the Promoters (Promoter Group), or an immediate family member of such persons,

(the Participants). 

  • COMPETITION RULES 
      1. To enter the Competition, Participants are required to submit via the Latitudes website at this link: https://docs.google.com/forms/d/e/1FAIpQLSdUbOL6ierrMcya5C-oWJ0FlGGRi-kvrBd8PvidFDIp-Ttwyw/viewform during the Competition Period –
        1. a high-resolution image of an original artwork created by the Participant (the Artwork);
        2. a short artist biography of the Participant (maximum 200 words); 
        3. proof of current enrolment as a visual arts student at a recognised South African university or tertiary institution; 
        4. completed application form which will include providing personal details such as proof of identification.
      2. Each Participant may submit up to 10 (ten) Artworks.
      3. The Promoters will not be responsible for any entries that are late, incomplete, invalid or illegible for any reason whatsoever, and such entries will be disqualified. The Promoters will further not be liable for any technical, network, electronic, computer, hardware or software failures of any kind that may affect the entry, participation or selection process of the Competition. 
      4. Submissions for the Competition strictly close on 10 October 2025 at 23:59 SAST. 
  • Entries may not be abusive, defamatory, offensive, derogatory, degrading and/or otherwise contrary to public policy due to the nature of the material submitted.
  • The Promoters may in its sole discretion decide that any entry is not eligible due to the nature of the content of the entry and may disqualify a person from the Competition and any future events and/or competitions organised by the Promoter Group. 
  • SELECTION OF WINNERS
      1. A panel of judges, appointed by the Promoters (the Judges) will evaluate the eligible submissions during the Competition Period, in their sole discretion, based on –
        1. creativity;
        2. originality; and 
        3. suitability for production on merchandise (including but not limited to tote bags), suitability for use via social media, websites, press releases and other branded content (the Use).
  • The Judges will select up to three Participants as the winners of the Competition (Winners
        ).
      1. Participants acknowledge and agree that the Judges’ decision is final and binding, and no review, appeal or correspondence regarding such decision will be entertained.
  • The Winners will be notified via email and/or phone by 1 November 2025 at 23:59 SAST, which notification (the Notification
        ) shall require the Winner to –
        1. sign an acknowledgement of these Terms and Conditions, in the form set out in Annexure A, expressly confirming their acceptance of and agreement to be bound by these Terms and Conditions, which, for the avoidance of doubt, is supplemental to the Winner’s acceptance of the Terms and Conditions upon entry into the Competition as a Participant; and 
        2. provide their banking details for the purposes of payment of the Prize as set out in clause 5;
  • If any Winner does not respond to the Notification within 7 (seven) business days, the Prize may be offered to an alternate Participant. 
    1. The Prize 
      1. Each Winner will be awarded with R10 000 (ten thousand Rand) (the Prize), paid via EFT within 14 (fourteen) business days of responding to the Notification as required in terms of clause 4.4.
      2. Each Winner understands, agrees and undertakes that –
        1. he/she will provide production-ready files (such as Vector or high-resolution formats) to the Promoters if required; 
        2. the Artwork will be professionally reproduced for Use and that its promotion may occur on Latitudes’ and Thrive’s respective channels; and 
        3. no additional royalty or commission will be payable by the Promoters to the Winners for the ongoing use by the Promoters of the Artwork. 
        4. A Winner may be required to provide any further information or documentation that the Promoter may reasonably require to verify their eligibility for or award the Prize.
      3. If a Winner cannot be contacted or fails to provide any information or documentation within the time periods stipulated in clause 4 or this clause 5, the Promoter shall be entitled to disqualify the Winner and select a replacement winner from the remaining valid entries, subject to the Terms and Conditions. 
  • OWNERSHIP AND RIGHTS
    1. By entering the Competition, the Participant:
      1. represents and warrants that they own all right, title and interest in and to the intellectual property in any Artwork submitted to participate in the Competition or have the necessary permission to submit the Artwork; and
      2. grants the Promoter Group a non-exclusive, royalty free, worldwide and perpetual license to use the Artwork, in its sole and absolute discretion, for publicity and promotional purposes relating to the Competition.
    2. The Winner grants the Promoter Group a non-exclusive, royalty free and perpetual license to use the Artwork in its sole and absolute discretion, for any purposes whatsoever, including but not limited to:
      1. reproducing, adapting and distributing the Artwork on Merchandise and promotional materials; 
      2. using the Artwork in online and offline marketing campaigns; and
      3. featuring the Winner’s name, biography and likeness alongside the Artwork and, where reasonably practicable, crediting the Winner as the artist.
    3. The Winner, hereby, waives any moral or similar rights in the Artwork and all claims that it may have against the Promoter Group for the use of the Artwork. 
    4. Subject to the Terms and Conditions (and particularly clause 7.1.3), the Winner retains all intellectual property rights in the Artwork and remains free to use, reproduce, and license the Artwork for personal or commercial purposes, provided that such use does not:
      1. conflict with or adversely affect the Promoter Group’s brand, goodwill or reputation; or
      2. create, or be likely to create, confusion as to an association, affiliation, sponsorship, or endorsement by the Promoter Group.
  1. WARRANTIES
    1. By entering the Competition, each Participant warrants that the Artwork –
      1. is entirely their own original creation, made without the use of artificial intelligence;
      2. does not infringe on any third-party intellectual property rights; and 
      3. has not been previously licensed, sold or exploited commercially.
  2. LIMITATION OF Liability 
    1. The Promoters reserves the right to postpone or cancel the Competition at any time, without notice, if circumstances beyond its reasonable control prevent it from continuing with the Competition. In such event, to the extent permitted by law, the Promoters shall have no liability, whatsoever, arising from such postponement or cancellation of the Competition.
    2. The Promoters will not be liable for any failure to comply with its obligations under these Terms and Conditions where such failure is due to events beyond its reasonable control, including but not limited to, war, civil unrest, fire, flood, storm, earthquake, strike, lockout, labour dispute, sabotage, explosion, act of God or any law, regulation, order or other act of any government or authority.
    3. The Promoters will not be liable for any loss, damage, injury, death, claim or expense of any kind arising from or relating to the Competition, the Prize or the acceptance, use or enjoyment of the Prize, except for any liability that cannot be excluded by law. In no event will the Promoters be liable for any indirect or consequential loss. 
    4. To the extent that the Promoters cannot exclude its liability by law, the maximum total liability of the Promoters in relation to any claim arising from or related to the Competition shall not exceed an amount equal to the actual cost of the Prize. 
  3. Personal Information 
    1. By participating in the Competition, all Participants acknowledge that – 
      1. the name of the Winners and the nature of the Prize will be published on the website and social media platforms of the Promoters; and
      2. certain personal information shared with the Promoters will be retained by the Promoters for a period of 3 (three) years in accordance with the Consumer Protection Act, 68 of 2008. 
    2. All personal information provided by Participants will be processed by the Promoters solely for the purposes of conducting the Competition and will be processed in accordance with the provisions of the Protection of Personal Information Act, 4 of 2013. 
  4. General
    1. These Terms and Conditions shall be governed in accordance with the laws of the Republic of South Africa. 
    2. The Promoters will interpret these Terms and Conditions in its sole discretion and reserves the right to amend these Terms and Conditions at any time.
